MEXICAN
LLC
FORMATION

Formation of Mexican LLC, bank account opening, employer registration, biz licenses, etc.

Mexico's laws regarding LLCs are often conducive to foreign investment. Foreign investors may find the structure of an LLC familiar and advantageous, making it easier to conduct business in Mexico.

As the name suggests, one of the primary advantages is limited liability. Members or owners of an LLC in Mexico are typically not personally liable for the debts and obligations of the company. Their liability is generally limited to the amount of their investment in the company.

Interestingly, 95% of our US clients prefer the Mexican LLC over the Mexican corporation for certain tax reasons. Our clients from other countries also prefer the Mexican LLC but not necessarily for tax reasons. For instance, the requirements for ongoing maintenance of a Mexican LLC compared to the Mexican corporation are generally less stringent, making it an attractive option for small to medium-sized businesses.

Mata law firm has formed more than 100 Mexican LLC’s over the last 30 years, assisting our clients to apply for a Mexican taxpayer (number known as RFC) for their company, opening a bank account, obtaining employer registration, applying for business licenses, etc.

Overall, using an LLC in Mexico can provide a balance of liability protection, tax advantages, and operational flexibility, making it a popular choice for many businesses. However, it's essential to consult with legal and tax professionals familiar with Mexican laws and regulations to determine the most suitable business structure for your specific circumstances.

Litigation

Litigated and other contested matters in both state and federal courts in Mexico, as well as before administrative agencies.

Our Litigation Practice Group serves corporate and individual clients in a broad range of litigated and other contested matters in both state and federal courts in Mexico, as well as before administrative agencies.
Many Practice Group members have served judicial clerkships at Mexico’s Supreme Court or the Federal Court of Appeals.
Like our clients, we recognize that the key to being effective is having the right people on a case, not having the most people on the case. The department’s size and flexibility enable it to adapt to our clients’ varying needs, from day-to-day breach of contract matters, up to international litigation and arbitration.

Our utmost goal is a favorable result for the client. This may mean winning at trial, or it may mean an early, cost-effective resolution of the dispute. Because we are very aware of the high cost of litigation, our litigation practice includes not only the conduct of trials and appeals, but when consistent with the client’s objectives, the pursuit of a speedier and/or less costly alternatives such as direct negotiation or arbitration programs. In this way, we strive to keep costs and benefits in proper balance, in the interest of our client.

Our lawyers are dedicated to making such a transition as seamless as possible.
